Roles and Responsibilities 01

IPO related Compliances :

 

Handling all matters related to Pre-IPO and Listing.

Taking active lead in developing appropriate systems, process and compliance frameworks, SOPs, and corporate polices for RPT, insider trading, Material Disclosures, updation of information on website and Annual Report Disclosures as may be required under LODR, Companies Act as applicable to listed entity.

LODR compliances (Post listing)​​​​​​

Ensuring timely event-based filings under SEBI Listing regulations.

• Planning and ensuring timely adherence of SEBI compliances. This would require coordinating with inter-departments and setting up appropriate system and process.

• Co-ordinating with internal and external stakeholders (including regulators, RTA, depositories, shareholders and auditors) for listing compliances.

• Responsible for managing end-to-end compliances under SEBI PIT Regulations including structural digital database for the Company.

• Conducting sensitization sessions and educational initiatives on various SEBI Regulations for internal stakeholders.

• Handling all disclosure of corporate events, RPT, insider trading, material information, contracts of the Company and material subsidiaries in a timely manner.

Other Secretarial Compliance:

• Preparation of agenda of Board Meeting and other Committee Meetings, General Meetings and preparing minutes thereof.

• E-filing with MCA and other relevant regulatory authorities, updating and managing all Statutory Registers and Secretarial Records. 

• Handling Secretarial Audit. 

• Handling Dividend payouts, IEPF Compliance. 

• Annual Report preparation and compliance related to AGM.

• Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action.

• Coordinating with Board Members for corporate compliances.

• Setting-up of Companies (in & outside India)/ branch offices.

Legal matter

• Assisting in review of different types of Agreement, MOU for projects.

• Assist in review of working capital facility documents / Agreements to be executed with Bankers.

• Assisting in IPR related matters

Education Qualifications

Educational Essential: Company Secretary 

Educational Desirable: Bachelor’s Degree (LLB)

Computer Software Proficiency

MS Excel, MS Word, Power Point

Experience Range

  • Minimum 8 to 15 years of experience in company secretary with exposure in LODR compliance and dealing with SEBI
